Registering a Sole Proprietorship as a Foreigner

Foreigners can register an s.p. in Slovenia, but the process depends on their legal status:

  • EU/EEA/Swiss citizens have free access to the labor market and follow the same procedure as Slovenians.
  • Non-EU citizens need to address additional requirements, especially related to work and residence permits.

At our SPOT point, registration is carried out in the same way as for Slovenian citizens. You will need:

  • a Slovenian tax number
  • an EMŠO number
  • a notarized statement from the property owner if your company’s registered seat is not in your ownership
  • a prepared list of business activities and a decision on bookkeeping (actual costs or lump-sum/normative expenses)

Mandatory Supporting Documents (Article 10a of the Companies Act)

For non-residents, the Companies Act (ZGD-1K, 2021 amendment) requires additional certificates from the country of residence, not older than 30 days, translated into Slovenian, and when necessary legalized or apostilled:

  • Criminal record certificate (proof of no convictions for economic, labour, tax, or similar crimes)
  • Tax clearance certificate (no outstanding tax debts and no ownership ties above 25% in a tax debtor)
  • Proof of no repeated fines in the last 3 years for undeclared work or wage payment violations. If such a certificate is not issued by the client’s home country, SIBIZ will prepare an appropriate sworn statement to meet this requirement.

Special Rules for Non-EU Nationals

Non-EU nationals without permanent residence in Slovenia need to have lived in Slovenia for at least 12 continuous months before registering an s.p. Once the business is registered, they must adjust their work permit at the administrative unit to one based on self-employment.

Exceptions with Free Access to the Labor Market

Some categories of foreigners have free access to the labor market without the 12-month residence requirement, such as:

  • asylum seekers after 9 months if no decision has been issued
  • family members of Slovenian citizens
  • persons of Slovenian origin
  • victims of trafficking or illegal employment
  • persons with international or temporary protection status
